Upon the resignation, death, removal, disqualification or other vacancy of any StepStone/Citi Director, StepStone/Citi shall have the right to designate a new director and the Company shall have the same obligations set forth under the first sentence of this Section 3.1(b) to cause the election of such designee to the Board and the appointment of such designee to the Compensation Committee.
