Funds shall be transferred, in accordance with Section 16.1, from the Reinvesting Revolver Funding Account to the First Static Revolver Funding Account (on and after the First Static Date) and the Second Static Revolver Funding Account (on and after the Second Static Date).
For the avoidance of doubt, the Issuer may transfer Collateral Obligations and other Assets to the First Static Subsidiary and the Second Static Subsidiary on the First Static Date and the Second Static Date, respectively, pursuant to the requirements of Article XVI and notwithstanding any restrictions in this Article XII applicable to sale and purchase transactions.
To the extent that any Deferred Interest exists with respect to a Class of Deferred Interest Secured Notes after the First Static Date and/or the Second Static Date, such Deferred Interest shall be allocable to the Note Amount corresponding to the applicable Portfolio and Priority of Payments that such Deferred Interest results from.
If no such direction has been effected as required by this Section 16.1(a) on the First Static Date, then any purported optional equity static election with respect to the First Static Portfolio shall be deemed null and void.
The Issuer Subsidiaries shall not acquire Assets from any Person other than the Issuer, and shall only be permitted to effect such acquisitions in connection with the First Static Date or the Second Static Date, as applicable.
If no such direction has been effected as required by this Section 16.1(b) on the Second Static Date, then any purported optional equity static election with respect to the Second Static Portfolio shall be deemed null and void.
