Start Value definition

Start Value means the hypothetical liquidation value (determined on a going concern basis) of the Class A Units (i.e., Book Value of the Company’s assets, reduced by the aggregate amount of the Company’s liabilities (but limited, in the case of liabilities that are non-recourse for non-tax purposes, to the collateral securing or otherwise available to satisfy such liabilities)) on the first Business Day following the Chapter 11 Plan Effective Date, which value shall be determined by the Board, by a Supermajority Vote of the Board, as soon as possible after the Chapter 11 Plan Effective Date, but in no event later than thirty (30) days after the Chapter 11 Plan Effective Date or upon such other date as determined by the Board.
