Standby Units definition

Standby Units has the meaning set forth in Section 2.2.
Standby Units means 2,500,000 Units, unless the Exercise Price is less than the Maximum Exercise Price, in which case it shall be adjusted upward proportionately, based upon the difference between the Maximum Exercise Price less the Exercise Price divided by $.20 and multiplied by 500,000. The number of Standby Units shall never be greater than 3,000,000.
Standby Units has the meaning set forth in Section 2.2(c). “Subscription Price” means $0.0746 per Standby Unit. “Substituted Purchaser Conditions” means, in respect of an Affiliate of a Standby Purchaser that such Standby Purchaser proposes to be a Substituted Standby Purchaser (the “Proposed Person”) as contemplated in Section 2.2, a Person that satisfies the following conditions:

  • Each Standby Purchaser represents and warrants, severally and not jointly, to and with RBC, on its own behalf and also in respect of and on behalf of its Substituted Standby Purchaser, if any, that it and each of its Substituted Standby Purchasers, as applicable, is acquiring the Standby Units as principal and for investment and not with a view to, and has not offered or sold any Standby Units in connection with, the sale or distribution thereof.

  • It will use its commercially reasonable efforts to obtain all necessary consents, approvals or exemptions for the creation, offering and issuance of the Securities in all Qualifying Jurisdictions as contemplated herein and in the Prospectus and the entering into and performance by it of this Agreement (including, for greater certainty and without limitation, the issuance of the Rights and the Shares issuable upon the exercise of such Rights, including the Standby Units).

  • Common Units is defined in the Partnership Agreement.

Public units additionally include, but are not limited to:

  • Initial Shares means all of the outstanding shares of Common Stock issued prior to the consummation of the Company’s initial public offering.

  • Class B Common Units has the meaning set forth in Section 1(a) hereof.

  • Restricted Units means that number of restricted units listed in the Award Letter as “Awards Granted.”

  • Units means the units of the Company, each comprised of one share of Common Stock and one-half of one Warrant.

  • Unit Shares has the meaning ascribed thereto in the first paragraph of this Agreement;

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • Membership Units has the meaning set forth in the Recitals.

  • Trust Units means units of the Trust;

  • Class A Units means the Units of partnership interest in the Partnership designated as the “Class A Units” herein and having the rights pertaining thereto as are set forth in this Agreement.

  • Class A Common Shares means shares of the Class A Common Stock, par value $.01 per share, of the Company.

  • Class B Units has the meaning set forth in Section 3.04(a)(ii).

  • Class B Warrants means the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately and have a term of exercise equal to 5 years, in the form of Exhibit C attached hereto.

  • Class A LP Units means the Class A limited partnership units of the Partnership.

  • Private Placement Units shall have the meaning given in the Recitals hereto.

  • Tendered Units shall have the meaning set forth in Section 8.6.A.

  • Private Units means the Units certain of the Investors are privately purchasing simultaneously with the consummation of the Company’s initial public offering.

  • Class B Shares means the Class B ordinary Shares in the capital of the Company of $0.0001 nominal or par value designated as Class B Shares, and having the rights provided for in these Articles.

  • ETP Securities means the Series of ETP Securities to which these Conditions relates or, as the context may require, any or all securities issued by the Issuer under the Programme.

  • Partnership Units or “Units” has the meaning provided in the Partnership Agreement.

  • Over-Allotment Units means the additional number of Private Units the Sponsor will be required to purchase in the event that the underwriters in the Company’s initial public offering exercise their over-allotment option, as described in the prospectus relating to the Company’s initial public offering.

  • LP Units means the non-voting limited partnership units in the capital of BEP, other than the Preferred Units, including any LP Units issued pursuant to the Redemption-Exchange Mechanism.
