Standard Shares definition

Standard Shares means the shares issued to the investors investing in the Company in connection with the initial closing of an Equity Financing.
Standard Shares has the meaning set forth in Section 2.1(c).

Examples of Standard Shares in a sentence

  • The term "vote of a majority of the outstanding voting Standard Shares of a Fund" shall mean the vote of the lesser (a) 67 per centum or more of the Fund's Standard Shares present or represented by proxy at the meeting if the holders of more than 50 per centum of the outstanding Standard Shares are present or represented by proxy at the meeting, or (b) more than 50 per centum of the Fund's outstanding Standard Shares, or such other definition as may be required from time to time pursuant to the Act.

  • The Standard Shareholders have exclusive voting rights, if any, with respect to the Standard Shares Rule 12b-1 Distribution Plan and the Trust's Service Plan as it affects the Standard Shares.

  • Standard Shares are subject to fees calculated as a stated percentage of the net assets attributable to Standard Shares under the Standard Shares Rule 12b-1 Distribution Plan and the Trust's Service Plan, as set forth in the respective Plans.

  • Standard Shares shall be entitled to the shareholder services set forth from time to time in each Fund's prospectus with respect to Standard Shares.

  • If the Plan is terminated or not continued by the Trustees and no successor plan is adopted with respect to each Fund, the Fund shall cease to make distribution payments to the Distributor with respect to the Standard Shares.

  • Transfer agency fees are allocated to Standard Shares on a per account basis.

  • This Plan may be terminated at any time with respect to each Fund by vote of a majority of the Rule 12b-1 Trustees, or by vote of a majority of the outstanding voting Standard Shares of the Fund.

  • Standard Shares are sold at the net asset value without a sales charge and with the minimum purchase requirements as set forth in each Fund's prospectus.

  • Standard Shares shall bear the costs and expenses associated with conducting a shareholder meeting for matters relating to Standard Shares.

  • At the end of the financial year there will be a Surplus or Deficit on the Business Rates Collection Fund, and this sum will be distributed in future years based on Standard Shares – so 40% for Taunton Deane Borough Council.

Related to Standard Shares

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Class A Preferred Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Preferred Shares means shares of Series A Junior Participating Preferred Stock, par value $.01 per share, of the Company having the rights and preferences set forth in the Form of Certificate of Designations attached to this Agreement as Exhibit A.

  • Series B Preferred Shares means the Series B Preferred Shares of the Company, par value US$0.0001 per share, with the rights and privileges as set forth in the Memorandum and Articles.

  • Vested Shares means "Vested Shares" as defined in the Award Agreement.

  • VMTP Shares means Variable Rate MuniFund Term Preferred Shares, $0.00001 par value per share, liquidation preference $100,000 per share plus an amount equal to accumulated but unpaid dividends thereon (whether or not earned or declared), of the Trust. The preferences, voting powers, restrictions, limitations as to dividends, qualifications, and terms and conditions of redemption of each series of VMTP Shares are set forth in the VMTP Shares Statement.

  • Company Preferred Shares means, collectively, the Company Series A-1 Preferred Shares, the Company Series A-2 Preferred Shares, the Company Series B Preferred Shares, and the Company Undesignated Preferred Shares.

  • Series A Preferred Shares means the Series A Preferred Shares of the Company, par value US$0.0001 per share, with the rights and privileges as set forth in the Memorandum and Articles.

  • Series E Preferred Shares means the Series E Preferred Shares of the Company, par value US$0.0001 per share, with the rights and privileges as set forth in the Memorandum and Articles.

  • Series C Preferred Shares means the Company’s series C preferred shares, par value US$0.00001 per share.

  • Series F Preferred Shares means the Series F Preferred Shares of the Company, par value US$0.0001 per share, with the rights and privileges as set forth in the Memorandum and Articles.

  • Placing Shares means the 32,313,130 Shares to be issued by the Company pursuant to the Placing;

  • Award Shares means Shares covered by an outstanding Award or purchased under an Award.

  • Series D Preferred Shares means the Company’s series D preferred shares, par value US$0.00001 per share.

  • Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • Private Placement Shares shall have the meaning given in the Recitals hereto.

  • Shares means the shares of Common Stock issued or issuable to each Purchaser pursuant to this Agreement.

  • Series C Shares means the shares of Fixed Rate Cumulative Perpetual Preferred Stock, Series C, of the Company.

  • RSU Shares means shares of Common Stock that underlie an RSU.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Founders’ Shares means 1,000 shares with a par value of $1 per share, 500 of which were issued to MACRO Securities Depositor, LLC and 500 of which were issued to Claymore Securities, Inc., in exchange for the Initial Deposit.

  • Pre-Funded Warrant Shares means the shares of Common Stock issuable upon exercise of the Pre-Funded Warrants.
