Standard Inbound License definition
Standard Inbound License means (a) licenses for Off-the-Shelf Software, (b) licenses for Public Software, (c) licenses contained in the applicable standard forms of contract entered into by the Group Companies with its employees and individual contractors, and (d) incidental trademark and feedback licenses granted to a Group Company in the ordinary course of business.
Standard Inbound License means any nonexclusive license granted to the Company or any Company Subsidiary (a) for uncustomized software that is generally commercially available to the public or commercial entities generally on standard terms and conditions, (b) for Open Source Materials, (c) to Intellectual Property that is not material to the Company Business pursuant to employee or consulting agreements, (d) in the ordinary course of business for the use of a name, logo or feedback for marketing or similar purposes, (e) in nondisclosure agreements for use in evaluation and negotiation permitted by such agreements or (f) pursuant to a perpetual, irrevocable, fully paid up, royalty-free license agreement that is not subject to any termination by the licensor.
Standard Inbound License means any nonexclusive license granted to the Company or any of its Subsidiaries (a) for uncustomized software that is generally commercially available to the public or commercial entities generally on standard terms and conditions for less than $1,000,000 annually, (b) for Open Source Materials, (c) to Intellectual Property that is not material to the business of the Company and its Subsidiaries pursuant to employee or consulting agreements, (d) in the ordinary course of business for the use of a name, logo or feedback for marketing or similar purposes, (e) in nondisclosure agreements for use in evaluation and negotiation permitted by such agreements (other than licenses to Intellectual Property that is material to the business of the Company and its Subsidiaries), or (f) pursuant to a perpetual, irrevocable, fully paid up, royalty-free license agreement.

Standard Inbound License means any Contract for third party Intellectual Property Rights licensed on a non-exclusive basis to a Group Company that is generally, commercially available Software and (a) has not been modified or customized for and at the request of a Group Company, and (b) is licensed for a one-time or annual fee under $100,000.
Standard Inbound License means nonexclusive licenses granted to any Acquired Company: (i) for commercially available off-the shelf software, products or technology that is not incorporated or embodied in any Company Product or otherwise distributed by any Acquired Company; (ii) for Open Source Software; (iii) for non-specific Intellectual Property provided under background licenses in employee and consulting agreements on substantially the Company’s standard forms therefor (which standard forms have been Made Available to Parent); (iv) in nondisclosure agreements entered into in the ordinary course of business that do not include an express license grant or other express grant of rights; and (v) for feedback, trademarks, service marks, or other identifiers or marketing materials, in each case where such licenses are incidental to the subject matter of the applicable agreement in which they are incorporated.

Standard Inbound License means any nonexclusive license (or software-as-a-service agreement) granted to the Company or any of its Subsidiaries (a) for uncustomized Software that is generally commercially available on generally standard terms and conditions for less than $500,000 annually, (b) for Open Source Materials, (c) to Intellectual Property that is not material to the business of the Company and its Subsidiaries pursuant to employee, contractor, service provider, or consulting agreements, (d) in the ordinary course of business for the use of a name, logo or feedback for marketing or similar purposes, (e) in nondisclosure agreements for use in evaluation and negotiation permitted by such agreements, (f) pursuant to a perpetual, irrevocable, fully paid up, royalty-free license agreement, or (g) implied by or incidental to the purchase or sale of goods or services.
