Within 15 business days of the First Distribution Stale Date, EWS shall transfer to the Settlement Administrator, by draft or by wire, an amount sufficient to ensure that the remaining balance in the Settlement Fund allows a pro rata distribution to Actual Damages Class Members of not less than $3,500 for each Actual Damages Class Member; provided, however, that after this funding, the remaining balance in the Settlement Fund shall be not less than $35,000 and not more than $80,500.

Should the Administration Costs ultimately not exceed $25,000, then the Settlement Administrator shall refund NovelPay any balance remaining on the $25,000 within fourteen (14) days of the Final Stale Date.
