SSR Resolutions definition
SSR Resolutions means (1) an ordinary resolution of the SSR Shareholders approving the issuance of the Consideration Shares, and (2) an ordinary resolution of the SSR Shareholders electing directors to the SSR Board consistent with Section 2.17 and conditional on the Effective Time occurring, each to be considered at the SSR Meeting;
SSR Resolutions means the SSR Share Resolution and the SSR Board Resolution;

As of the date hereof, the SSR Board, after consultation with its financial and legal advisors and review of the SSR Fairness Opinions and following the receipt of a unanimous recommendation from the SSR Special Committee, has determined that the Arrangement is in the best interests of SSR and has resolved unanimously to recommend to the SSR Shareholders that they vote in favour of the SSR Resolutions.
