In the event a Party is materially unable to perform any of its obligations under the SSHA because of natural disasters, pandemics, satellite failure, Acts of God, riots, wars, governmental action, network failure, electricity outage or any other event beyond the reasonable control of the Party (excluding financial inability) (a “Force Majeure”), then such Party will, upon written notice to the other Party, be relieved from its performance of such obligations for the duration of such Force Majeure.
It is clarified that until the achievement of Closing on the Closing Date, the provisions of CVCFL SSHA will continue to be valid and subsisting.
The Contractor is to supply the amount of materials, supplies, equipment and personnel required by the SSHA within twenty-four (24) hours following its receipt of written notice from the SSHA or, in the case of an emergency as determined by the SSHA, within four (4) hours following its receipt of the Designated Representative's oral notification.
In case of such delays, the SSHA may, at its option, take over the maintenance either itself or through others until the Contractor resumes performance of the maintenance.
Any assignment or other transfer by the Contractor of this Contract or any part thereof or of any of its rights hereunder or of any monies due or to become due hereunder and any delegation of any of its duties hereunder without the express written consent in writing of the SSHA shall be void and of no effect as the SSHA, provided, however, that the Contractor may subcontract portions of the Work to such persons as the Designated Representative may, from time to time, expressly approve in writing.
THE EQUIPMENT AND SPECTRIO SERVICES ARE PROVIDED “AS IS” AND “WITH ALL FAULTS.” EXCEPT AS EXPRESSLY STATED IN THIS SSHA, NO WARRANTIES, CONDITIONS, GUARANTEES, OR REPRESENTATIONS (AS USED HEREIN, “WARRANTIES”) ARE MADE AS TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ARISING FROM A COURSE OF DEALING, TITLE, USAGE OF TRADE, OR COURSE OF PERFORMANCE OR OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, IN LAW OR IN FACT, ORAL OR IN WRITING.
The SSHA retains the right to have all inspection and test procedures performed in the presence of a representative of the SSHA, but such representation does not limit the Contractor's responsibility for performance or recording of the procedures.
IN NO EVENT WILL SPECTRIO BE LIABLE TO CLIENT FOR LOST PROFITS, FAILURE TO REALIZE EXPECTED SAVINGS, OR FOR ANY INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS SSHA, EVEN IF ADVISED OF THE POSSIBILITY THEREOF.
