The Borrower shall, and shall ensure that SSC Benelux shall, prepare its financial statements to be delivered by it pursuant to Clause 14.1 in the long form (schéma complet) set out by Belgian accounting law, and shall not avail itself of any dispensation therefrom that it may be entitled to by reason of its specific company status and/or its size.
The other General Managers shall only be authorized to bind or represent the Company if acting jointly with SSC Benelux Inc.
Individual General Managers shall not be authorized to bind or represent the Company, except for SSC Benelux Inc.
The Sellers and the Buyer have entered into a Securities Purchase Agreement dated 11 June 2003 pursuant to which the Sellers have agreed to sell their respective participations in Shurgard Self Storage SCA (formerly SSC Benelux & Co S.C.A.) (the “Company”) to the Buyer and the Buyer has agreed to purchase such participations from each of the Sellers (the “Securities Purchase Agreement”).
