S.R. One also expects its business partners to comply with these same ethical standards, particularly with respect to the conduct of research and development.
The Company shall use commercially reasonable efforts to notify S.R. One if it becomes aware of any activities or proposed activities to be conducted by itself or any of its wholly owned subsidiaries that may be contrary to the Guidelines.
At no time shall S.R. One be required to pay the underwriting discounts or selling commissions relating to the sale or disposition of shares of Common Stock by other Persons, or the fees and expenses of any Participating Holder's or the Company's counsel, except as required by Section 2.6.2 below.
