SPV Director definition

SPV Director means any director for the time being of SPV including where applicable any Alternate;
SPV Director means any director for the time being of SPV including where applicable any Alternate; Suitable Third Party means any person who is not an Unsuitable Third Party; Taxes Act means the Income and Corporation Taxes Act 1988;

Examples of SPV Director in a sentence

  • The Company and Chinos SPV shall take all Necessary Action to cause the Chinos SPV Director Designees to be elected and/or appointed to the Board.

  • In the event that any Chinos SPV Director Designee offers to tender his or her resignation, the Board shall promptly determine whether to accept such resignation and, if the Board chooses to accept such resignation, the Company and Chinos SPV shall be immediately required to take any and all actions necessary or appropriate to cooperate in ensuring the removal of such individual.

  • The right to have the BEE SPV Director serve on the Board shall cease at such time as BEE SPV, together with its affiliates, owns less than 10% (ten percent) of the Company’s then outstanding common stock or if a Trigger Event occurs.

  • Except as provided above, Chinos SPV shall have the sole and exclusive right to immediately remove the Chinos SPV Director Designees from the Board, as well as the exclusive right to designate the person to fill vacancies (serving in the same class as the predecessor) that remain open by not designating a director initially or that are created by reason of death, removal or resignation of such designees.

  • The Company and its Subsidiaries shall enter into director and officer indemnification agreements (the “Indemnification Agreements”) substantially in the form attached as Exhibit A hereto, with each of the Chinos SPV Director Designees.
