Reference is hereby made to the Indenture, dated as of February 26, 2015 (the “Indenture”), among Springleaf Funding Trust 2015-A (the “Issuer”), Springleaf Finance Corporation, as Servicer, and ▇▇▇▇▇ Fargo Bank, National Association, as Indenture Trustee (the “Indenture Trustee”).

Since the execution of this Agreement, there shall not have been any decrease in or withdrawal of the rating of any securities of Springleaf Finance Corporation by any “nationally recognized statistical rating organization” (as defined for purposes of Rule 436(g) under the ▇▇▇▇ ▇▇▇) or any notice given of any intended or potential decrease in or withdrawal of any such rating or of a possible change in any such rating that does not indicate the direction of the possible change.
