Springing Member 1 definition

Springing Member 1 shall be Mxxxxxx X. Xxxxx or any successor to him.
Springing Member 1 is defined in the introductory paragraph.
Springing Member 1 means WHP Springing Member 1, Inc., a Delaware corporation, together with its successors and permitted assigns.

  • If, however, at the time of a Member Cessation Event, Springing Member 1 has died or is otherwise no longer able to step into the role of Special Member, then in such event, Springing Member 2 shall, concurrently with the Member Cessation Event, and without any action of any Person and simultaneously with the Member Cessation Event, automatically be admitted to the Company as Special Member and shall continue the Company without dissolution.

Springing Member 1 shall have the meaning set forth in the preamble to this Agreement.

Related to Springing Member 1

  • Founding Member means any individual who is either:

  • Continuing Member means a member of the Board of Directors of the Company who either (a) was a member of the Company's Board of Directors on the Effective Date and has been such continuously thereafter or (b) became a member of such Board of Directors after the Effective Date and whose election or nomination for election was approved by a vote of the majority of the Continuing Members then members of the Company's Board of Directors.

  • Exchanging Member means a Member that Exchanges some or all of its Units.

  • Managing Member is defined in the recitals to this Agreement.
