Spring Event definition

Spring Event means (i) when CFCL approves, agrees to, or announces that it has approved or agreed to, a definitive agreement (it being understood that a confidentiality agreement or exclusivity agreement will not be considered a definitive agreement) in connection with an Acquisition Proposal; or (ii) when CFCL files for court protection from its creditors, provided that for purposes of this Section 4.11(3)(a), the term “Acquisition Proposal” shall have the meaning ascribed to such term in Section 1.1 except that a reference to “20%” therein shall be deemed to be a reference to “50%; and
Spring Event has the meaning set forth in Section 5.1(b);
Spring Event has the meaning given to such term in Section 11.8(a).

Examples of Spring Event in a sentence

  • Upon the earlier of: (a) the occurrence of a Spring Event; or (b) the expiry of the Standstill Period, the restrictions set forth in this Section 11.8 in respect of the Vendor’s obligations shall terminate forthwith.

  • The date of the 2022 Tox-Away Day – Spring Event shall be Saturday, April 16, from 9:00 a.m. to 1:00 p.m. at the Civic Center Parking Lot located in Evansville, Indiana.

Related to Spring Event

  • Triggering Event means any Section 11(a)(ii) Event or any Section 13 Event.

  • Triggering Event II means the date on which the Common Share Price is greater than $15.50 after the Closing Date, but within the Earn Out Period.

  • Company Triggering Event shall be deemed to have occurred if: (a) the Company shall have made a Company Board Adverse Recommendation Change; (b) the Company Board or any committee thereof shall have publicly approved, endorsed or recommended any Acquisition Proposal; or (c) the Company shall have entered into any letter of intent or similar document relating to any Acquisition Proposal in violation of the terms of the Agreement.

  • Sporting event means any of the following athletic activities that is organized, operated, managed, or sponsored by the School:

  • Financing Event means the earlier of (i) a public offering by the Company of its Common Stock with aggregate gross proceeds of at least $5 million; or (ii) the listing of the Company’s Common Stock on a National Securities Exchange, as such term is defined under the Exchange Act.
