Sponsored Funds definition

Sponsored Funds means each pooled investment vehicle that relies on an exemption from registration under either Section 3(c)(1) or 3(c)(7) of the Investment Company Act that is sponsored, advised, issued or distributed by the Purchaser or any of its Affiliates and as more specifically identified in Section A of Schedule V under the sub-heading “Sponsored Funds.”
Sponsored Funds has the meaning set forth in the recitals.
Sponsored Funds means each Investment Company for which the Company or any of its Subsidiaries provide investment advisory services that is sponsored by the Company or any Subsidiary thereof and/or for which any of them act as a general partner, managing member or in a similar capacity. As used throughout this Agreement, “investment advisory services” shall mean acting as an investment advisor within the meaning of the Investment Advisers Act of 1940, as amended (the “Investment Advisers Act”).

Examples of Sponsored Funds in a sentence

  • At all times during this MOU, CAN shall be considered to be represented by the Foundation as its fiscal sponsor and only as it relates to the Sponsored Funds.

  • CAN agrees to refrain from entering into any contracts on behalf of the Foundation and/or for use of Sponsored Funds without prior consultation with and approval of the Foundation’s Primary Contact, or his or her designee, and the Foundation’s Legal Department.

  • Foundation will provide reports reflecting the overall financial position and financial activity of CAN for the Sponsored Funds on a monthly basis within 3 weeks after the end of each month, and on an annual basis, within 90 days after the end of each fiscal year of the Foundation.

  • CAN authorizes the Foundation to make expenditures, in accordance with a specified grant budget, which do not exceed total Sponsored Funds received for a specified grant purpose.

  • If we believe or suspect that your information is not true, accurate, current, or complete, we may deny or terminate your access to the Site or Services (or any portion thereof).

  • CAN is responsible for securing funds to support the Project (Sponsored Funds) and desires to have Foundation act as a fiscal sponsor for the Sponsored Funds.

  • CAN shall not exceed the Sponsored Funds allocated within a specified grant.

  • The Plan Fiduciary acknowledges and agrees that (a) assets of the Trust may be invested in other investment vehicles, including other collective investment trusts and the funds therein established and maintained by the Trustee (“Other Trustee Sponsored Funds”), as provided in Section 3.03(b) of the Declaration of Trust, (b) the Investment Manager may select Other Trustee Sponsored Funds as investment options within the Trust Fund.

  • Unless otherwise agreed in writing by both parties or required by the terms of a contribution grant or gift, the Foundation shall retain any and all remaining Sponsored Funds and distribute them in accordance with its tax-exempt purpose.

  • All personnel who are hired under any agreement/contract, and financed by Sponsored Funds, to carry out the purposes of the Project will be considered employees or independent contractors, as applicable, of the Foundation.


More Definitions of Sponsored Funds

Sponsored Funds has the meaning set forth in Section 4.19(a).
Sponsored Funds means collectively, the funds, investment vehicles, managed accounts or other investment arrangements (including any parallel vehicles, accounts or arrangements or, where the context so requires, any collateralized loan obligations, business development companies, blank check companies, co-investment vehicles or alternative investment vehicles) now or hereafter, directly or indirectly, launched, formed, managed, sponsored, advised or co-advised in connection with the business of the Target Companies, including by the Management Company, and/or that have the Management Company or a General Partner Entity as their general partner, manager, discretionary investment advisor (and not, for the avoidance of doubt, as investment adviser with no discretionary management authority), discretionary co-advisor, or similar controlling entity (including, for the avoidance of doubt, Qualified Investors Fund, LLC); provided, that “Sponsored Funds” shall not include (i) any Portfolio Investments (or intermediate holding vehicles thereof), (ii) with respect to any employees of the Management Company, any such investment fund, limited partnership, limited liability company, corporation or vehicle, account or arrangement established in connection with such Person’s personal investment and business activities, including the entities established in connection with such Person’s “family office” or (iii) any Benefit Plan; provided, further, that, notwithstanding anything to the contrary in this definition, and in each case except to the extent otherwise expressly specified in this Agreement, for purposes of the representations and warranties set forth in Sections 2.8 (Litigation), 2.15 (Taxes), and 2.23 (Absence of Certain Business Practices) and the covenants and agreements set forth in Section 4.1 (Interim Operations of the Target Companies, General Partner Entities and Sponsored Funds), and for purposes of any other provisions of this Agreement that reference such representations, warranties, covenants or agreements (including, without limitation, the closing conditions set forth in Section 6.2(a) (Representations and Warranties), Section 6.2(b) (Performance of Obligations of the Seller) and the termination right set forth in Section 7.1(d)(i) (Material Breach by the Seller)), QIF 7 shall be deemed to be a “Sponsored Fund”.

Related to Sponsored Funds

  • Cleared Funds means the proceeds of cheque deposits to your account, once the cheque is cleared, cash deposits and direct credits.

  • Acquired Fund means any investment company in which the Fund invests or has invested during the previous fiscal year. The “Total Annual Fund Operating Expenses” and “Net Annual Fund Operating Expenses” will not match the Fund’s gross and net expense ratios reported in the Financial Highlights from the Fund’s financial statements, which reflect the operating expenses of the Fund and do not include Acquired Fund Fees and Expenses.

  • Affiliated Funds are any fund of ▇▇▇▇ ▇▇▇▇▇▇▇ Trust (“JHVIT”), ▇▇▇▇ ▇▇▇▇▇▇▇ Funds II (“JHF II”) or ▇▇▇▇ ▇▇▇▇▇▇▇ Funds III (“JHF III”), excluding the following funds of JHVIT: the Money Market Trust B, 500 Index Trust B, International Equity Index Trust B and Total Bond Market Trust B.

  • Regulated Funds means the Existing Regulated Fund, the Future Regulated Funds and the BDC Downstream Funds.

  • Pooled Fund means any pooled fund established and maintained by the Partners as a pooled fund in accordance with the Regulations Pooled Fund Manager means such officer of the Host Partner which includes a Section 113 Officer for the relevant Pooled Fund established under an Individual Scheme as is nominated by the Host Partner from time to time to manage the Pooled Fund in accordance with Clause 8.2. Provider means a provider of any Services commissioned under the arrangements set out in this Agreement.
