Sponsored Entity means an entity sponsored by Inland Real Estate Investment Corporation, a Delaware corporation, that is (i) a real estate investment trust which is a reporting company under the Securities Exchange Act of 1934, as amended, that will not impair the Company’s ability to satisfy the “five or fewer” rule under Sections 856 and 542(a)(2) of the Internal Revenue Code of 1986, as amended, or (ii) reasonably approved by the Series A Holders.

• Termination of this Agreement as to any customer shall not terminate this Agreement as to any other customer or Sponsored Entity, unless specifically stated in such termination.

• This Agreement shall commence upon the Effective Date and shall continue through December 31 of the current year (“Initial Term”), and thereafter shall automatically be renewed according to the terms of the then-most recent version for consecutive twelve (12) month periods (each a “Term”) unless terminated in accordance with the Agreement or unless the Agreement between the Sponsored Entity and the Sponsored Member has terminated for any reason.

• This Agreement shall commence upon the Effective Date and shall continue through December 31 of the current year (“Initial Term”), and thereafter shall automatically be renewed according to the terms of the then-most recent version for consecutive twelve (12) month periods (each a “Term”) unless terminated in accordance with the Agreement or unless the Agreement between the Sponsored Entity and the Represented Member has terminated for any reason.

• This Agreement applies to Services provided to the customer entity that applies or enrolls for Services (the “Parent” or “Manager”) or any Sponsored Entity (as defined below) each of which is referred to herein as a “customer” or “you.” A “Sponsored Entity” is any entity identified as such in a paper or electronic writing delivered by the Parent or Manager to us or that has an interest in any deposit Account as referenced in the applicable documentation.
