The Corporate Taxpayer Group shall reimburse each TRA Holder for any reasonable third-party costs and expenses incurred pursuant to this Section 6.3. The Sponsor Agent shall promptly deliver to LS Power all material information (including the Tax Attribute Schedule and Tax Benefit Payment Schedule) received by the Sponsor Agent hereunder in its capacity as an Agent.

The Collection Agent and the Sponsor Agent shall not be responsible to any other party hereto for any recitals, statements, representations or warranties contained in this Intercreditor Agreement or in any certificate or other document referred to or provided for in, or received by any of them under, this Intercreditor Agreement or for the value, validity, effectiveness, genuineness, enforceability or sufficiency of this Intercreditor Agreement.
The Trial Site shall collaborate with the Sponsor, the third-party cryopreservation provider and, as applicable, any other Sponsor Agent in providing access to the Starting Material within or outside of the premises of the Trial Site for the undertaking of cryopreservation of Starting Material.
