If conditions or circumstances arise (i) that may have a material adverse effect on the Split Merger, (ii) that would cause the representations and warranties provided in this Agreement to be untrue or incorrect in material respects, or (iii) that prevents the satisfaction of the conditions to the obligations of Chohung Bank provided in Article 8.1, Shinhan Card shall promptly notify Chohung Bank in writing of such fact together with a description thereof.
