Split Charge. Tokens” a demerger of a real estate project initated by the Company into a Project Company for the further development of the project; the due date of this Loan Agreement, which is the earlier of the Maturity Date, Conversion Date, or Voluntary Redemption by the Company; the interest rate of the Loan; the lender under this Loan Agreement; the loan provided by the Lender to the Borrower under this Loan Agreement the Company’s particular bank account established for the Loan and any other loan amounts as agreed by the Company with other lenders, which is pledged as Security to all Lenders; the Company’s Loan Account being pledged to the Lender as Security for the Loan; the loan amount borrowed by the Borrower from the Lender under this Agreement;

Examples of Split Charge in a sentence

  • This allows the Lender to claim a Security (i.e. the Loan Account Pledge or the Split Charge) for the whole outstanding Loan Amount with Interest, following a debt or bankruptcy proceeding in Miris.

  • The Borrower shall ensure that the Loan is secured by the Loan Account Pledge and the Split Charge, and if applicable, the Share Pledge, as detailed below.

  • Following a deletion of the Split Charge in relation to a Carve Out Event, the Lender shall be granted pledge in the shares of a Project Company as security for the Loan equal to the value of the security granted in the Split Charge (the Share Pledge).

  • The Lender further acknowledges and accepts a deregistration of the Split Charge from the Register of Moveable Properties (Nw. Løsøreregisteret) in connection with a Carve Out Event related to the Split Charge.

  • The Borrower shall ensure that the Loan is secured by the Loan Account Pledge and the Split Charge, as detailed below.

Related to Split Charge

  • Account Charge means, in relation to each of the Charged Accounts, the first priority fixed charge or pledge over all such accounts given or to be given by the relevant account holder thereof in favor of and in form and substance satisfactory to the Security Trustee.

  • Management Charge means the sum paid by the Supplier to the Authority being an amount of half (0.5) percent of all Charges for the Services invoiced to the Contracting Bodies (net of VAT) in each Month throughout the Term and thereafter until the expiry or earlier termination of any Call-Off Contract;

  • Room charge means the charge imposed for the use or occupancy of a room, excluding charges for food, beverages, state use tax, telephone service, or like services paid in connection with the room charge, and reimbursement of the assessment as allowed in section 6.

  • Transition charge means a nonbypassable rate or charge to be imposed on a customer to pay the customer's share of transition costs.

  • Energy Charge means a charge for each kilowatt-hour (kWh) of electrical energy;
