Spectator Facility definition
Spectator Facility means a facility within which events are viewed by an audience in a
Spectator Facility means a facility within which events are viewed by an audience in a 12 seated or standing position, including, without limitation, concerts, sporting events, and family 13 shows such as circuses and ice skating shows. Use of a facility for trade shows, flat shows 14 (including, without limitation, consumer shows), conventions, meetings and up to ten (10) 15 Community Events per year does not constitute use of the facility as a “Spectator Facility.”

If a deficiency remains after application 1 of these funds, then either (i) the City may elect to advance the deficiency (in which event it may 2 later recover the advance, with interest at the Prime Rate plus two (2) percentage points, from 3 amounts otherwise payable in the future into the Budget Amount; or (ii) the City may terminate 4 this Agreement and cease use of the Coliseum as a Spectator Facility.
If the closure is a Temporary Closure, when the City subsequently re-opens 21 the Coliseum for use as a Spectator Facility, this Agreement may, at PDC’s election, be 22 reinstated for the remainder of the Term (that is until the calendar date of the Termination Date).
