Specified Units definition

Specified Units means with respect to each Excluded Property, the number of Common Units and/or Preferred Units (as the case may be) which would have been issued to the Parent, pursuant to Section 4.3.B and Section 4.2 hereof, if the Parent had contributed such Excluded Property to the Company on the date that such asset was acquired by the Parent or a wholly owned Subsidiary of the Parent, in exchange for Units equal in value to the fair market value of such Excluded Property as of such date.
Specified Units has the meaning specified in Section 3.2(a)(iv).
Specified Units means Restricted Stock Units that are subject to Section 409A of the Internal Revenue Code of 1986, as amended (the “Code”), including Restricted Stock Units granted to any Participant who is on the Grant Date or will in any fiscal year of the Company prior to the fiscal year of the Company prior to the Vesting Date become eligible for Retirement.

  • The Borrower will take all necessary action to establish and maintain legal and equitable title to all of its and their respective assets, including the Specified Units and the ▇▇▇▇▇ Class B Shares, except pursuant to a transaction permitted by this Agreement and except to the extent the failure to do so could not reasonably be expected to have a Material Adverse Effect.
