Specified Repayment Transactions definition

Specified Repayment Transactions means any of (i) the repayment of the aggregate outstanding principal and other obligations of the Borrower and its Subsidiaries under the Senior Note Purchase Agreements and the Senior Notes and termination of all financing arrangements thereunder, (ii) the repayment of the aggregate outstanding Receivables Facility Attributed Indebtedness of the Borrower and its Subsidiaries and other obligations incurred under or in connection with the Receivables Purchase Documents and termination of all transfer and financing arrangements, and the release of all Liens granted, thereunder and (iii) at any time concurrently with or following the occurrence of each of the repayment transactions under clauses (i) and (ii), the repayment of all or any portion of the Indebtedness outstanding under the Revolving Credit Agreement (with or without a corresponding reduction of commitments).
