Specified Option definition

Specified Option means each Option identified as a Specified Option on Section 3(a)(v) of the Disclosure Schedule, which schedule may be updated by mutual agreement of Buyer and the Stockholder Representative from time to time prior to the Closing.
Specified Option means any option subject to (i) the Nonqualified Stock Option Agreement made and entered into, as of August 1, 2006, by and between Target and Wxxxxxx Xxxxxxxx; (ii) the Nonqualified Stock Option Agreement made and entered into, as of August 1, 2006, by and between Target and Jxxxxxx Xxxxxxxx; (iii) the Nonqualified Stock Option Agreement made and entered into, as of August 1, 2006, by and between Target and Jxxx Xxxxxx; and (iv) the Nonqualified Stock Option Agreement made and entered into, as of August 1, 2006, by and between Target and Axxxx Xxxxxxxx.
Specified Option has the meaning assigned to such term in Section 5.4(a) of the Agreement.

Examples of Specified Option in a sentence

  • An “EEM Specified Option Class” is a class in which the EEM has designated as a class to be protected via ARM-E.

  • The System will maintain a counting program ("EEM Counting Program") for each participating EEM who has submitted an order in an EEM Specified Option Class using a specified MPID of the EEM and delivered via the MEO Interface as described herein (an “EEM ARM Eligible Order”).

More Definitions of Specified Option

Specified Option means the Options held by Paul Johnson listed on Schedule 1.6(a)(ii).

Related to Specified Option

  • Nonqualified Option means any Option that is not an Incentive Stock Option.

  • Related Option means an Option with respect to which a Stock Appreciation Right has been granted.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Director Option means an Option granted pursuant to Section 6.

  • NQSO means any Option that is not an ISO.

  • Reload Option means any Option granted under Section 6(a)(iv) of the Plan.

  • Purchase Right means an option to purchase shares of Common Stock granted pursuant to the Plan.

  • Appreciation Right means a right granted pursuant to Section 5 of this Plan, and shall include both Tandem Appreciation Rights and Free-Standing Appreciation Rights.

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.

  • Option Right means the right to purchase Common Shares upon exercise of an option granted pursuant to Section 4 of this Plan.

  • Stock Purchase Right means a right to purchase Common Stock pursuant to Section 11 below.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Restricted Share means a Share awarded to a Participant pursuant to Article 6 that is subject to certain restrictions and may be subject to risk of forfeiture.
