Specified FX Transaction definition

Specified FX Transaction means foreign currency transactions that settle on a T+3 or greater timeline (excluding Securities Conversion Transactions as defined below) and that are not executed or traded on a national securities exchange registered pursuant to Section 6(a) of the Securities and Exchange Act of 1934. Securities Conversion Transaction means a foreign exchange transaction entered into for the purchase or sale of an amount of foreign currency equal to the price of a foreign security with respect to which (i) the security and related foreign currency transactions are executed contemporaneously in order to effect delivery by the relevant securities settlement deadline and (ii) actual delivery of the foreign security and foreign currency occurs by such deadline.
