Specified Awards definition

Specified Awards means (a) any Rollover Restricted Stock, (b) any Rollover Options, to the extent fully vested at Closing, and (c) any Rollover RSUs, to the extent fully vested upon Closing.
Specified Awards means those Company Options listed in Section 1.5(a) of the Company Disclosure Schedule.
Specified Awards means those unvested Company Options and Company SARs held by Company Employees, the terms of which provide that the Board has absolute discretion to determine whether to accelerate the vesting of such Company Options and Company SARs upon the termination of the employment without “cause” (or the equivalent) of each relevant Company Employee holder thereof.

Examples of Specified Awards in a sentence

  • Notwithstanding anything in this Agreement to the contrary, no fractional shares of Parent Common Stock will be issued upon the conversion of Eligible Shares pursuant to Section 2.1(a) or upon the settlement of Specified Awards pursuant to Section 2.3(b).

  • No holder of Eligible Shares or Specified Awards shall be entitled by virtue of the right to receive cash in lieu of fractional shares of Parent Common Stock described in this Section 2.4 to any dividends, voting rights or any other rights in respect of any fractional share of Parent Common Stock.

  • To dispel doubt, this Agreement does not apply to the Executive’s Option or Stock Appreciation Right (namely, all the Options and/or RSUs Awards and Prior Plan Awards) that are not included in the Specified Awards (herein, the “Non-Specified Awards”).

  • The Acquiror Incentive Plan Proposal shall provide that an aggregate number of shares of Acquiror Common Stock equal to the sum of (x) 10% of the outstanding shares of Acquiror Common Stock as of Closing, and (y) the aggregate number of shares of Acquiror Common Stock underlying the Specified Awards , shall be reserved for issuance pursuant to the Acquiror Incentive Plan, subject to annual increases as provided therein.
