Specific Event definition

Specific Event means any of the events listed in Section 5(a) of this Disclosure Certificate.
Specific Event means (i) an accident, event or occurrence (or a specifically identified series of related events and occurrences) which occurred prior to the Effective Time and which the Buyer can demonstrate and prove is a specifically identified accident, event or occurrence (or series of related events or occurrences) arising out of the conduct by the Seller Companies of the Refinery Business or Cogen Company Business prior to the Effective Time or (ii) an event or occurrence or series of events or occurrences which, although the Buyer cannot demonstrate that such event or occurrence is a specifically identified accident, event or occurrence (or a specifically identified series of related events or occurrences) as reflected in subsection (i) above, the Buyer can demonstrate and prove is an event or occurrence that resulted solely from the Seller Companies’ conduct of the Refinery Business or Cogen Company Business prior to the Effective Time. For example, a release of Hazardous Substance that can be traced to a specific accident which occurred prior to the Effective Time as a result of the Seller Companies’ conduct of the Refinery Business or Cogen Company Business would be a specifically identified accident, event or occurrence under subsection (i) above and the presence of a particular Hazardous Substance at the Refinery which is a type of Hazardous Substance which could only have been generated by the Seller Companies but the Buyer cannot trace the release to a specifically identified accident, event or occurrence would be covered by subsection (ii) above.

Examples of Specific Event in a sentence

  • For the avoidance of doubt, a Specific Event is an event outside our control that, whilst it is reasonably likely to occur, or may be imminent, we cannot be expected to be prepared for, or we cannot prevent its occurrence.

  • To clarify, a Specific Event is an occurrence beyond our control that, although reasonably anticipated or impending, is not something we could foresee or prevent.

  • The Borrower will not, nor will it permit any of its Subsidiaries to, declare or make any Dividend Payment (i) at any time that a Specific Event of Default shall have occurred and be continuing or at any time that the Borrower shall fail to comply with Section 8.15 and (ii) unless the Borrower, prior to such Dividend Payment, has reserved sufficient Property NOI to pay the amount of interest due on the next succeeding Interest Payment Date.

  • Specific Event Reporting Serious and Sentinel events with a SAC 1 or SAC 2 rating of the outcome of the incident must be reported as per NZIMS.

  • The ACT shall only gain access to the Venue at the times specified in the Specific Event Terms.

  • In the event of any re-occurrence of a Specific Event of Default or any breach of the Conditions Precedent, the Conditions Subsequent or the Additional Agreements set forth in this Second Forbearance Agreement, then, to the extent that Buyer establishes before a court of appropriate jurisdiction that any of the foregoing has occurred, the Seller consents to injunctive relief for the benefit of Buyer in order to enforce the terms of this Second Forbearance Agreement and the Purchase Agreement.

  • Public event means any event that can be attended by the

  • ▇▇▇▇ Event means if there are any Mortgaged Properties at such time, any increase, extension or renewal of any of the Commitments or Loans (but excluding (i) any continuation or conversion of borrowings, (ii) the making of any Loan or (iii) the issuance, renewal or extension of Letters of Credit).

  • Application Event means the occurrence of (a) a failure by Borrowers to repay all of the Obligations in full on the Maturity Date, or (b) an Event of Default and the election by Agent or the Required Lenders to require that payments and proceeds of Collateral be applied pursuant to Section 2.4(b)(iii) of this Agreement.

  • Exclusion Event means an event or related events resulting in the exclusion of the Borrower or any Subsidiary from participation in any Medical Reimbursement Programs.

  • Default Event means an event or circumstance which leads Operator to determine that a Venue User is or appears to be unable or likely to become unable to meet its obligations in respect of an Order or Transaction or to comply with any other obligation under an Agreement or Applicable Law.
