In the case of quality assurance Special User Licenses (each, a “QA User License”), the Special User is only permitted to access the quality assurance functionality of the Software (each, a “QA User”), and the QA User is not permitted to access any other functionality of the Software.
Licensee may assign the number of Special Named Licenses granted under this License Agreement among any of the three (3) categories of Special Users set forth in Sections 2.3(c)(i) – (iii) below; provided, however, that, if Licensee wants to assign the same named Special User to more than one (1) of the Special User types in Section 2.3(c) below, each Special Named License that the Special User is assigned to will count against the total number of Special Named Licenses granted to Licensee.
In the case of SDK Special User Licenses (each, a “SDK User License”), and provided that Licensee has been granted a license to the SDK, the Special User is permitted to access the SDK functionality of the Software solely for the purposes of integration, customization, or authentication to the Software through the SDK functionality of the Software (each, a “SDK User”), and the SDK User is not permitted to access any other functionality of the Software.
The Rates for Special User Service established for each Annual Payment Period shall be the amounts set forth in the Rate Schedule.
In the case of ghost Special User Licenses (each, a “Ghost User License”), the Special User is granted a Ghost User License solely for resource planning purposes (each, a “Ghost User”).
Any vacancies on the Board created by an individual designated under Section 4.2.1, 4.2.2, 4.2.3, 4.2.4 or or 4.2.54 shall be filled by an individual designated by the Member or Members who designated the individual who is no longer a director, the Special User who designated the individual who is no longer a director, or the Provincial government, as the case may be, and any vacancies in any Independent Directors shall be filled by the remaining directors in accordance with Section 4.2.65.
If specified in a Special User Agreement for a Special User other than the RCMP, that Special User shall be entitled to appoint a representative to one or more Services Committees, as specified in that Special User Agreement.
The Members shall not otherwise vote to remove a director unless the Member, Designated Group of Members, the Special User, or the Province, or the nominating group described at section 4.2.4, whichever designated such director, shall agree to such director's removal.
The Special User Agreement may be executed between the RCMP, as a Special User, and the Company at any time notwithstanding when the Government Agency established by the Federal government for the purposes of holding a Class A Share in place of the RCMP becomes a Member.
