Special Security definition

Special Security shall have the meaning assigned to it in Section 3.07 hereof.
Special Security means any Equity Security however named to which special rights, privileges or restrictions apply which prevent it from ranking pari passu with the voting securities of the Company but does not include any security that does not rank pari passu only by reason of being partly paid or not ranking equally for dividends or rebates.
Special Security means persons engaged in security activity as a merchant security agent or private security agent as defined herein, and holding a license issued by this city

  • You will strictly comply with all Spirit rules, policies, and procedures in effect and as amended from time to time, including, but not limited to, our Code of Ethical Business Conduct, ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇ Policy, Anti-Bribery Policy, Related Person Transaction Policy, Special Security Agreement, and internal and disclosure controls; follow all applicable U.S. and foreign laws and regulations; and be governed by our decisions and instructions consistent with the duties assigned to you.

  • Whenever a Replacement Security is acquired by the Depositor pursuant to the provisions of this Section 3.07, the Trustee shall, within five days thereafter, mail to all Unit Holders notices of such acquisition, including an identification of the Special Security and the Replacement Security acquired.

  • Verification of a Security Clearance must be processed through the Special Security Officer located in the Planning and National Security Service within the Office of Operations, Security, and Preparedness.

  • Upon satisfaction of the foregoing conditions with respect to any New Security, the Depositor shall pay the purchase price for the New Security from its own resources or, if the Trustee has credited any moneys and/or letters of credit attributable to the failed Special Security to the Principal Account of such Trust, the Trustee shall pay the purchase price of the New Security upon directions from the Depositor from the moneys and/or letters of credit so credited to the Principal Account.

  • The purchase price of a Replacement Security shall be paid out of the funds in the principal account attributable to the Special Security which it replaces.

  • The Borrower shall upon demand pay the cost of any such mortgagee's title insurance policy, the cost of any updated UCC searches, all recording costs and fees, and any and all intangible taxes or other documentary or mortgage taxes, assessments or charges which are demanded in connection with the recording of any of the Special Security Documents.

  • In the event that any Contract Security is not delivered due to any occurrence, act or event beyond the control of the Depositor and of the Trustee (such a Contract Security being herein called a "Special Security"), the Depositor shall notify the Trustee in writing of such failed contract and may instruct the Trustee to purchase Replacement Securities which have been selected by the Depositor having a cost not in excess of the cost of the Special Securities not so delivered.

  • The purchase price of a Replacement Security shall be paid out of the funds in the Principal Account attributable to the Special Security which it replaces.

  • In connection with the recording of the Special Security Documents, the Agent may obtain, at the Borrower's sole cost and expense, a mortgagee's title insurance policy with respect to each parcel of Special Real Estate encumbered by such Special Security Documents in such amount as is determined by the Agent.

  • The Security Documents relating to Special Real Estate, which have been or may in the future be executed and delivered to Agent for the benefit of the Banks, and which are not to be recorded until the occurrence of the events specified in Section 5.8 (it being acknowledged that the Guaranty and the Indemnity Agreement are not Special Security Documents).

  • Financial Security means Financial Security Assurance Inc., a New York stock insurance company, its successors and assigns.

  • Collateral Security means security, other than a security interest in a motor vehicle that is the subject of an installment sale contract, that is given to secure performance of an obligation of the buyer, or of any surety or guarantor for the buyer, under an installment sale contract. The term includes the undertakings of any surety or guarantor for the buyer and any interest in, encumbrance on, or pledge of real or personal property other than the motor vehicle that is the subject of the installment sale contract.

  • Proposal Security means the proposal bond as described in Section 3.3 of Exhibit B to the ITP.

  • Additional Security has the meaning given in clause 10.6;
