Examples of Special Managers in a sentence

  • The Limited Partner may, in its sole discretion, designate one or more individuals to serve as Special Managers of the Partnership.

  • Such Special Managers shall constitute delegates of the General Partner, with all powers, statutory and otherwise, possessed by the General Partner, if the General Partner fails to cause the Partnership to take any action required by this Agreement.

  • You are purchasing the Service for full monthly terms, meaning that if you attempt to disconnect Service prior to the end of a monthly term, you will be responsible for the full month's charges to the end of the then-current term, including, without limitation, unbilled charges, plus a termination fee, if applicable, all of which will immediately become due and payable.

  • Notwithstanding anything contained in this Agreement to the contrary, so long as any of the Recourse Guaranties remain outstanding, the Member shall have no right to remove the Manager, the Restructuring Manager or the Special Managers.

  • Notwithstanding the foregoing, no Person dealing with the Company or the Managers or the Member may rely upon any certificates in circumstances where (a) Section 8.1(iv) applies, unless such certificates are executed by the Manager or the Restructuring Manager, and (b) Section 8.9 applies, unless such certificates are executed by each of the Special Managers.

  • Ader, the rights and ▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇s of the Restructuring Manager shall be performed by the Special Managers, who shall act by a majority in number.

  • At all times that the Recourse Guaranties shall remain outstanding, the Company shall have the Special Managers and the Member and the Manager hereby appoint the Persons listed on Schedule C hereto to act as the initial Special Managers.

  • Notwithstanding anything to the contrary in this Agreement, so long as the Recourse Guaranties shall remain outstanding, this Agreement may not be modified, altered, supplemented or amended without the written consent of the Manager and each of the Special Managers.
