Special Indemnification Holdback Amount definition

Special Indemnification Holdback Amount means $3,400,000, less disbursements related thereto in accordance with this Agreement; provided that any amount not disbursed in accordance with this Agreement on or before the lapse of 18 months from the Closing Date and not subject to a pending claim, shall be delivered by Purchaser to the Paying Agent for distribution to the Securityholders in accordance with their respective Pro Rata Shares.
