Special Expert definition

Special Expert means an arm’s length third party expert designated by the Project Team to break any voting deadlock of the Project Team as contemplated in the Lease.

Examples of Special Expert in a sentence

  • If the deadlock or dispute cannot be resolved, then the chief executive officers will, within seven (7) days of the initial meeting, meet again in the presence of a Special Expert (who will be mutually agreed by the Parties and whose expenses shall be paid by the Parties equally) to attempt to settle the deadlock or dispute.

  • If the deadlock or dispute is not resolved within seven (7) days of the initial referral to the chief executive officers, the Special Expert will make a decision to resolve the dispute and such decision will be binding on the Parties, subject to Article 19 of this Lease.
