Special Content definition

Special Content means Content related to a Group Artist (other than Exclusive Content) that Group or its Affiliates makes available during the Term and with respect to which at least one of the following is true: (i) such Content has not been and is not available (whether for online or off-line use) and remains unavailable except that it is made available to (A) Company and/or its Affiliates and (B) a limited number of Online Music Companies (which may include Affiliates of Group); (ii) such Content has not been and is not available (whether for online or off-line use) and remains unavailable except that it is made available to (A) Company and/or its Affiliates and (B) a limited number of Online Music Companies (which may include Affiliates of Group) for a period of time to be agreed on a case-by-case basis by, on the one hand, the recipient of such Content and, on the other hand, Group or its Affiliate providing such Content; or (iii) such Content has not been and is not available and remains unavailable except that it is made available to (A) Company and/or its Affiliates and (B) a limited number of Online Music Companies (which may include Affiliates of Group) for online use, although it is made available to other Persons for off-line use.
Special Content shall have the meaning set forth in Section 3.A.ii. hereof.
Special Content is content which the UMG Entities make available only to one or more Company Entities, or only to one or more Company Entities and a limited number of other unaffiliated third parties. Examples of Special Content in a sentence

  • Nothing contained herein shall be construed to require Licensee to offer to Licensor a day-and-date or earlier avail date opportunity (and thus the Special Content Protection with respect thereto) if, in Licensee’s reasonable business judgment, Licensee desires to limit such avail date opportunities.

  • Special Content Partner offers targeted to GO.c▇▇ Users (other than TDSO customers) interested in pets.

  • Notwithstanding the provisions of this Article 11, either parent and its Group Companies shall be entitled to offer, sell or distribute Non-Exclusive Content Services; provided, however, that, in order to enhance the business of the Newco Group, except as permitted in Section 11.7, unless such parent is no longer subject to clause (b) of the second sentence of Section 11.6, no parent or its Group Companies may offer, sell or distribute Special Content Services in the other parent's Home Territory.

  • The Special Content Declaration will be calculated by Green Mountain as described in Attachment B attached hereto and made a part hereof, for both PJM and ECAR and provided to Supplier as soon as possible but no later than 5 days before the beginning of each month.

  • Special Content Providers (as defined Section 6.6, below) shall not be required to sign the Standard Yahoo Contract if, and only if, such Content Provider's participation in the Service consists solely of a listing in a directory and no other content.
