Special Call definition

Special Call has the meaning set forth in Section 5.2 hereof.

Examples of Special Call in a sentence

  • In the event the Employer requires a Musician to remain following the conclusion of a live service at which audio-visual material is captured for the purpose of re-taping a portion or portions, that Musician shall receive overtime pay, pro-rated in 15-minute increments, at time and one-half the Special Call rate, computed from the time that the performance ends.

  • A Special Call shall not be canceled, postponed or otherwise rescheduled less than seven (7) days prior to its scheduled date, except in the case of an emergency with the consent of the Office of the Federation President.

  • There shall be no more than two (2) Special Calls permitted in any one (1) day with at least a one (1) hour break between the end of the first Special Call and the beginning of the second Special Call.

  • The Employer shall provide Musicians with notice of its intent to schedule a Special Call in accordance with the notice provisions of the CBA.

  • The Special Call Right shall expire and have no further force and effect if such right is not exercised by Holdings or its designees (by sending a notice as provided above) within the 30-day period following the fifth anniversary of such Senior Officer's Trigger Date.

  • For the avoidance of doubt, notice of redemption pursuant to this clause (d) may be given if the Issuer publicly announces entry into an agreement or arrangement in respect of a Special Call Event, whether or not such transaction is completed on or before such date, and such notice may be subject to one or more conditions precedent, including, without limitation, the completion of a transaction constituting a Special Call Event.

  • Upon receipt of the Special Call Notice, the Third Party Purchaser will be obligated to sell the Called Interest in accordance with the provisions of this Section 8.5.

  • DHI shall exercise the Special Call by giving a written notice (the "Special Call Notice") to SGF Sante of its intent to do so, accompanied by the notice referred to in the definition of Fair Market Value in Article 1.

  • The purchase of the Put Shares, the Call Shares or the Special Call Shares, as the case may be, by DHI shall take place on the 3rd Business Day following the determination of the Fair Market Value, at 10:00 A.M., Montreal time, at the registered office of the Corporation or such other date, time and place as may be agreed in writing by SGF Sante and DHI.

  • Special Call Meetings of Workgroup members may be called by the President or the Executive Board or upon the written request of members representing 25% of the Workgroup (by number of votes) addressed to the President or Executive Board.
