Spanish Collateral Documents definition

Spanish Collateral Documents means the Spanish Collateral Agreements and each security agreement, pledge, debenture, hypothec, mortgage, consent or other instrument or document, as applicable, governed by Spanish law in connection with this Indenture and the Agreed Security Principles to secure any of the Obligations which may be entered into from time to time for the benefit of all the Secured Parties identified therein; provided that each Spanish Collateral Document shall be in form and substance acceptable to the Notes Collateral Agent.
Spanish Collateral Documents means each of the following documents:
Spanish Collateral Documents means collectively all agreements, instruments or documents delivered by the Spanish Subsidiary, GFA SAU or any other Loan Party pursuant to this Agreement or any of the other Loan Documents in order to grant to Administrative Agent, on behalf of the Secured Parties, a lien on certain assets of the Spanish Subsidiary and/or GFA SAU.

  • Each Spanish Guarantors undertakes that the Spanish Public Document shall state any conditions that any of the Trustee or the Notes Collateral Agent reasonably considers necessary or convenient in respect of the enforceability of this Indenture, the Notes, or the Spanish Collateral Documents referred to in article 517 et seq of the Spanish Civil Procedural Law.

  • The Spanish Security Agent shall be entitled to accept without enquiry, and shall not be obliged to investigate, any right and title that any of the Loan Parties may have to on the collateral constituted by the Spanish Collateral Documents and shall not be liable for or bound to require any Loan Party to remedy any defect in its right or title.

  • The Spanish Security Agent may (but shall not be obliged to), in the absence of any instructions to the contrary, take such action in the exercise of any of its powers and duties under this Agreement or the Spanish Collateral Documents as it considers in its discretion to be appropriate.

  • Each of the Lenders authorizes the Spanish Security Agent to perform the duties, obligations and responsibilities and to exercise the rights, powers, authorities and discretions specifically given to the Spanish Security Agent under or in connection with any of the Spanish Collateral Documents, together with any other incidental rights, powers, authorities and discretions.

Spanish Collateral Documents means collectively all agreements, instruments or documents delivered by the Spanish Guarantors or any of its Subsidiaries pursuant to this Agreement or any of the other Loan Documents in order to grant to the Secured Parties, or to the Administrative Agent or the Spanish Security Agent (as applicable) acting on behalf and for the benefit of the Lenders, a lien on certain assets of the Spanish Guarantors or of their Subsidiaries. Spanish Commercial Code means the Spanish Royal Legistlative Decree dated 22 August 1885, approving the Spanish Commercial Code (Código de Comercio), as amended from time to time.
Spanish Collateral Documents means the pledge over bank accounts to be entered into between the Company and the Collateral Agent (including its schedules and annexes) and any other document containing liens of any Credit Party securing the Obligations governed by the laws of Spain, in each case in form and substance satisfactory to the Collateral Agent and entered into pursuant to the terms of this Agreement or any other Credit Document.

  • Collateral Documents means, collectively, the Security Agreement, the Intellectual Property Security Agreements, the Mortgages, each of the mortgages, collateral assignments, Security Joinder Agreements, security agreements, pledge agreements or other similar agreements delivered to the Administrative Agent pursuant to Section 6.12, and each of the other agreements, instruments or documents that creates or purports to create a Lien in favor of the Administrative Agent for the benefit of the Secured Parties.

  • ABL Collateral Documents means all “Security Documents” as defined in the Original ABL Credit Agreement, and all other security agreements, mortgages, deeds of trust and other collateral documents executed and delivered in connection with any ABL Credit Agreement, and any other agreement, document or instrument pursuant to which a Lien is granted securing any ABL Obligations or under which rights or remedies with respect to such Liens are governed, in each case as the same may be amended, supplemented, waived or modified from time to time.

  • Credit Agreement Collateral Documents means the Security Agreement, the other Collateral Documents (as defined in the Credit Agreement) and each other agreement entered into in favor of the Credit Agreement Collateral Agent for the purpose of securing any Credit Agreement Obligations.

  • Foreign Collateral Documents means each of the documents set forth on Schedule 1.1A and including all amendments, supplements or joinders thereto and each other Collateral Document governed by the laws of any non-U.S. jurisdiction executed and delivered pursuant to Section 6.11.

  • Additional Collateral Documents as defined in the Base Intercreditor Agreement.
