Sourcebase definition

Sourcebase means ECRI's proprietary product known as Sourcebase, which consists of an international database of medical device manufacturers and suppliers along with an extensive set of data elements, such as company names, addresses, telephone numbers, facsimile numbers, URLs and e-mail addresses of such manufacturers and lists of their respective products indexed according to UMDNS-related synonyms, as such database may be revised, updated and improved from time to time by ECRI.

  • ECRI shall be the sole owner of the UMDNS and the Sourcebase, including but not limited to any adaptations thereof under this Agreement, and any rights granted to Neoforma herein are for the sole purpose of allowing Neoforma to exercise its rights under this Agreement.

  • Neoforma shall provide to ECRI all information which it receives through the Neoforma Web Site which it, or the party supplying such information, desires be included in the Sourcebase for ECRI's review, analysis and approval for inclusion in the Sourcebase.

  • ECRI will deliver the agreed upon data elements of Sourcebase to Neoforma in such format and together with such ancillary materials as are set forth in Exhibit D as soon as practicable, but in no event not later than 60 calendar days following the execution of this Agreement.

  • Neoforma agrees to promote ECRI's sales of the printed Sourcebook and Sourcebase CD-ROM on the Neoforma Web Site through its displaying references to its availability and the manner of obtaining it from ECRI on the Neoforma Web Site.

  • ECRI agrees to promote the Sourcebook and Sourcebase CD-ROM as accessible on the Neoforma Web Site.

  • The Parties agree that the Neoforma Web Site may include Neoforma's vendors not listed in Sourcebase provided that Neoforma shall take sufficient steps to assure that any vendors which shall not have been evaluated or approved by ECRI shall be clearly delineated from those that have.

  • Specialty fertilizer means a fertilizer distributed primarily for nonfarm use.

  • Toolkit or “Development Toolkit” in the 3DS Offering name, or (ii) in the Transaction Document and/or the Product Portfolio. Extended Enterprise User means an employee of Customer’s affiliate(s), supplier(s) and/or customer(s) authorized to use Customer’s 3DS Offering for the sole and exclusive purpose of enabling the Extended Enterprise User(s) to conduct business with Customer. The use of the 3DS Offering by any such Extended Enterprise User(s) (1) shall be solely limited to use (a) as configured and deployed by Customer and (b) in connection with the Extended Enterprise User’s performance of services for and on behalf of Customer, and (2) shall exclude any use by Extended Enterprise User (a) for its own account or a third party’s account, or (b) for the purpose of modifying, otherwise using, maintaining or hosting the 3DS Offering. Extended Enterprise Users are authorized if so specified in the Product Portfolio. Machine means a device on which a 3DS Offering is executed and which is either (1) (i) (a) belonging to Customer or under its sole control or supervision and (b) located on Customer’s premises or according to Teleworking conditions, or (ii) authorized by Customer according to its own information technology charter or equivalent whereby third party devices (such as Users own devices) are specifically authorized, or (2) operated by a third party service provider as specifically authorized in the Agreement solely for and on behalf of Customer. Remote Access means, if so specified in the Product Portfolio, that Users and/or Extended Enterprise Users may access and use the 3DS Offering remotely via the Internet from any country (subject inter alia to the export and re-export laws and regulations provisions of the Agreement). Teleworking means any program authorized by and for the benefit of Customer to enable its employees to work outside its own premises, using information and communication technology (or equivalent program established by a Customer entitled to Education Use (or former Academic Use) of the 3DS Offerings for its Users).

  • Prescription monitoring program or "PMP" means the Wash- ington state prescription monitoring program authorized under chapter
