  • Licensee shall have the opportunity to be added as a beneficiary under the Software Source Code Agreement between Licensor and InnovaSafe, Inc., as it may be amended from time to time, a copy of which is attached as Exhibit B (“SOURCE CODE ESCROW AGREEMENT”).

  • Microsoft may end this Master Source Code Agreement or any License Form in its sole discretion.

  • During the term of this Source Code Agreement, RevQ warrants that it has the right to license the Source Code under terms of this Source Code Agreement, that the Source Code does not infringe upon the rights of any third parties, and that the Source Code does not violate any U.S. protected copyright or trademark or any other proprietary rights of third parties.

  • A breach of this Source Code Agreement will be a breach of RPCS License Agreement.

  • Except as otherwise provided herein, any notice or other communication given hereunder will be in writing and will be given by personal service, express courier (such as UPS), confirmed fax, or by certified or registered mail to the addresses shown on this Source Code Agreement, unless and until a different address has been designated by written notice to the other party.

  • In addition, this Master Source Code Agreement and any License Form may end earlier as described below.

  • If any provision of this Source Code Agreement is held invalid, it won't affect the balance of this Source Code Agreement.

  • This Source Code Agreement, together with RPCS Software License Agreement and any previously executed confidentiality and nondisclosure agreements, contains the entire agreement of the parties with respect to its subject matter and supersedes all existing agreements and all other oral, written or other communications between them concerning its subject matter.

  • Failure to enforce any provision of this Source Code Agreement will not operate as a waiver of such provision or any other provision.

  • The term of a License Form may be shorter than this Master Source Code Agreement but can never be longer.
