Source Assets definition

Source Assets means all of the properties and assets of Source and the Subsidiaries which are reflected in the Source Financial Statements or acquired after the date of the Source Financial Statements (except assets or properties sold or otherwise disposed of in the ordinary course of business since such date or as otherwise disclosed or permitted by this Agreement), other than the Source Leased Premises, whether personal or mixed, tangible or intangible, and wherever located.
Source Assets means the “Assets” as defined in that certain Contribution Agreement, dated as of August 24, 2021, by and among Source Energy Leasehold, LP, a Delaware limited partnership, Permian Mineral Acquisitions, LP, a Delaware limited partnership, and DPM HoldCo, LLC, a Delaware limited liability company.
Source Assets shall have the meaning ascribed to such term in Section 2.1.

Examples of Source Assets in a sentence

  • In connection with the transfer of the Source Assets to Wiki Sub, Source shall take all action necessary to effect such transfer as soon as practicable after the Execution Date, in particular attaining consent to assign those Source Assets, for which consent to transfer is required.

  • For a period of seven (7) years commencing on the Effective Date, the licenses granted to Ixia under Section 2 above shall be exclusive even as to NetIQ for Test Products/Services, and NetIQ shall not have the right to, and shall not, use or license the Source Assets or any portion thereof for a period of seven (7) years after the Effective Date to create or develop or market or distribute or participate in the exploitation of any Test Product/Service.
