Promptly after the date on which the audited financial statements of each Company with respect to the fiscal year ending on December 31, 2013, have been delivered to Somar, but in no case later than 10 (ten) calendar days following the date hereof, Somar shall deliver a copy of such financial statements to the Purchaser.
Without limiting the foregoing, Sellers and Somar shall cause their respective Representatives to give to Purchaser and its Representatives any and all access reasonably necessary for Purchaser to complete its due diligence relating to the joint venture created under the Memorandum of Understanding and any related agreements or arrangements.
