In fulfilling its obligations under this Agreement, Contractor shall perform, and shall cause each Contractor Solution Partner to perform, all Services and all Deliverables to perform, in accordance with the response, resolution, and other support standards and timelines and such other systems availability and processing requirements as are set forth in the applicable Services Order (the "Performance Levels").
Unless the context otherwise requires, all references to “Contractor” throughout this Agreement shall refer to both Contractor and each Contractor Solution Partner.
The individuals who perform Services, whether employees or independent contractors of Contractor (or of a Contractor Solution Partner) are hereinafter referred to as “Contractor Personnel” and at all times meet the requirements set forth below.
As between Contractor and each Contractor Solution Partner on the one hand, and State on the other hand, Contractor shall be the prime contractor to State hereunder and in such capacity shall have full responsibility and liability for the performance of the Solution (including each of its Contractor Solution Partner components) and all Services hereunder (including all Services provided by Contractor Solution Partners).
Without limiting Contractor’s obligations above, Contractor shall cause each Contractor Solution Partner to comply with the provisions of this Section 11 to the same extent that Contractor is required to comply with such provisions.
The SAP Certified Business Solution Partners who elect to participate as the primary sales channel of the Alliance Offering, as described in Section 4.9(a), will execute an agreement between themselves and SAP and a separate agreement between themselves and AP which will govern any such sale of the Alliance Offering (the "Certified Business Solution Partner Agreement").
Each party will be solely responsible for all payments due to the Certified Business Solution Partners under their respective Certified Business Solution Partner Agreements.
The parties agree that their respective Certified Business Solution Partner Agreements will contain at a minimum the compensation models and sales targets related to that Certified Business Solution Partner for the Alliance Offering and will provide such compensation models and sales targets to the other party.
The Solution Partner can keep track of each such update at ▇▇▇.▇▇▇▇▇▇▇.▇▇▇/▇▇▇▇/ and gives its prior consent to such updates.
If the Solution Partner is not located in Germany, all foreign remittances must be handled as an OUR transfer, i.e. all bank charges (for the sender and recipient) shall be paid by the Solution Partner as the sender.
