If the Executive shall voluntarily terminate employment after the Emergence Date, excluding a termination for Good Reason, in addition to the Accrued Obligations Executive shall receive, to the extent not already paid, the Emergence Bonus, if any, to which Executive is entitled to under the Solutia Inc.
Any attempt by Employee or any other person or entity to sell, transfer, alienate, assign, pledge, anticipate, encumber, charge or otherwise dispose of any right to benefits payable hereunder will be void and shall terminate any obligation of Solutia hereunder to make payment.
In no case will any amounts paid under this Agreement be taken into account in determining any of Employee's Solutia benefits, including without limitation savings and investment plan contributions, pension, life insurance and disability or in determining any other incentive award or compensation.

Nothing contained herein shall require Solutia to segregate any monies from its general funds or to create any trusts, or to make any special deposits for amounts payable to Employee.
Each such Monsanto Option or Monsanto SAR (each a "Pre-Adjustment Option" or "Pre-Adjustment SAR," as applicable) shall be replaced with two options or stock appreciation rights, as applicable (one a New Monsanto Option or New Monsanto SAR, as applicable, and the other a Solutia Option or Solutia SAR, as applicable), as follows.
