Solicitation End Date definition

Solicitation End Date means (i) to the extent no Qualified Bids are received by the Company on or prior to the Binding Proposal Bid Deadline, the date of the Binding Proposal Bid Deadline, (ii) to the extent the Company receives a Qualified Bid but determines not to hold the Auction on the Auction Date, on the earlier of the date of such determination and the Auction Date, or (iii) if the Company holds an Auction in accordance with Section 7.10 and the Bidding Procedures, upon completion or termination of the Auction.
Solicitation End Date means the 30th day after the Solicitation Commencement Date.
Solicitation End Date means 5.00 p.m. (prevailing Eastern time) on the second Business Day after the Solicitation Commencement Date, subject to extension by the Plan Sponsor in its sole discretion but in no event more than thirty (30) days without the written consent of the Majority Participating Creditors.

  • Upon and after the No Solicitation End Date, the Xxxxxxx Entities shall not engage in any of the activities described in this section until the fifth (5th) day after the later of the No Solicitation End Date and the date it has provided notice to Buyer of its intent to do so.

  • Non-Solicitation Period means a period of 12 months after the termination of Executive’s employment with the Company.

  • Solicitation means the document issued by the System Agency (including any published addenda, exhibits, and Attachments) under which the goods or Services provided under the Contract were initially requested, which is incorporated by reference for all purposes in its entirety.

  • Solicitation Amendment means a written document that is authorized by the Procurement Officer and issued for the purpose of making changes to the Solicitation.

Home solicitation sale does not include any of the following:

  • Solicitation Response means Contractor’s full and complete response (including any Attachments and addenda) to the Solicitation, which is incorporated by reference for all purposes in its entirety.

  • Consent Solicitation has the meaning set forth in Section 6.15(b).

  • Solicitation Agent means Prime Clerk LLC, the notice, claims, and solicitation agent retained by the Debtors in the Chapter 11 Cases.

  • Solicitation Materials means, collectively, the solicitation materials with respect to the Plan.

  • Bid Solicitation Agent means the Person appointed by the Company to solicit bids for the Trading Price of the Notes in accordance with Section 14.01(b)(i). The Company shall initially act as the Bid Solicitation Agent.

  • State contract solicitation means a request by a state agency or quasi-public agency, in whatever form issued, including, but not limited to, an invitation to bid, request for proposals, request for information or request for quotes, inviting bids, quotes or other types of submittals, through a competitive procurement process or another process authorized by law waiving competitive procurement.

  • Solicitation Procedures Order means the order of the Bankruptcy Court or other court of competent jurisdiction approving the Debtors' proposed procedures to govern their solicitation of votes on this Plan.

  • Nonsolicitation Period means the Employment Period and a period ending six months after the Date of Termination.

  • Solicitation Amendment (or Addendum means a written document that is authorized by the Procurement Officer and issued for the purpose of making changes to the Solicitation.

  • Competitive solicitation means a formal, advertised procurement process, other than an Invitation to Bid, Request for Proposals, or Invitation to Negotiate, approved by the Board to purchase commodities and/or services which affords vendors fair treatment in the competition for award of a District purchase contract.

  • Consent Solicitation Statement means the consent solicitation statement issued on June 15, 2020 by Odebrecht Engenharia e Construção S.A., among others.

  • Solicitation Document means the Request for Quotes, Invitation to Bid, Request for Proposals, or any other written document issued by OSU that outlines the required specifications necessary to submit a responsive quote, bid, proposal, or any other response;

  • Telephone solicitation means any voice communication over a telephone for the purpose of encouraging the recipient of the call to purchase, rent, or invest in goods or services during that telephone call. Telephone solicitation does not include any of the following:

  • Non-Competition Period means the period the Executive is employed by the Company plus one (1) year from the Termination Date if the Executive's employment is terminated (i) by the Company for any reason, (ii) by the Executive for any reason, or (iii) by reason of either the Company's or the Executive's decision not to extend the term of this Agreement as contemplated by Section 1 hereof.

  • disclosure period means the period commencing on 22 February 2012 (being the date 12 months prior to the commencement of the Offer Period) and ending on the disclosure date;

  • Standstill Termination Date means the earlier of (i) the first anniversary of the Board Rights Termination Date and (ii) the later of (A) the third anniversary of this Agreement or (B) the first anniversary of the date on which both the Purchaser Designated Director has resigned from the Board and the Purchaser has permanently waived and renounced the Purchaser’s Board observation rights and Board designation rights in Section 1 and Section 2 of this Agreement.
