Software Goods definition

Software Goods means any Third Party Supplier software licences or subscriptions sold by the Supplier to the Client;

  • Software Goods are provided by Seller “AS IS” with no warranty of any kind.

  • The parties declare and agree that where Customer installs the Goods (in this Section 5.5, not including any Software Goods) as a part of a system in which the Goods are intended for use in conjunction with other equipment, the responsibility and liability for the compatibility and the combined operation of the Goods and the other equipment, except as and to the extent in strict conformity with the Goods' specifications as provided by Supplier in writing, lies with Customer and not Supplier.

  • Software Goods may be copied, accessed and used in development environments, testing environments, backup environments and disaster recovery environments (in addition to production environments).

  • LIS hereby assigns to the Customer all warranties LIS receives from the manufacturers of Software, Goods or components forming part of Goods supplied under the Contract and LIS shall have no obligations under Clause 10 with respect to Software, Goods or components covered by such warranties.

  • Developer’s Software, Goods, files, documentation and all other work product will strictly comply with the descriptions and representations as to the Services, including performance capabilities, completeness, specifications, configurations, and function that appear in the Specifications, attached as Exhibit E.

Related to Software Goods

  • Computer Hardware and Software means, with respect to any Debtor, all of such Debtor's rights (including rights as licensee and lessee) with respect to (i) computer and other electronic data processing hardware, including all integrated computer systems, central processing units, memory units, display terminals, printers, computer elements, card readers, tape drives, hard and soft disk drives, cables, electrical supply hardware, generators, power equalizers, accessories, peripheral devices and other related computer hardware; (ii) all software programs designed for use on the computers and electronic data processing hardware described in clause (i) above, including all operating system software, utilities and application programs in whatsoever form (source code and object code in magnetic tape, disk or hard copy format or any other listings whatsoever); (iii) any firmware associated with any of the foregoing; and (iv) any documentation for hardware, software and firmware described in clauses (i), (ii) and (iii) above, including flow charts, logic diagrams, manuals, specifications, training materials, charts and pseudo codes.

  • Software Products means the INSOURCE software products made available to the Licensee under the Agreement.

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Placement Services;

  • Business Software means all Software owned by or developed by a Seller for or in connection with the Business.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).
