Soft Plus Closing Ratio definition
Soft Plus Closing Ratio means, with respect to each Soft Plus Shareholder, the number of shares of Soft Plus Common Stock and Soft Plus Preferred Stock held by such Shareholder (on a fully diluted basis) divided by the number of shares of Soft Plus Common Stock and Soft Plus Preferred Stock held by all Soft Plus Shareholders (on a fully diluted basis). When reference is made herein to "pro rata share" of Cash Consideration, it means, with respect to any Soft Plus Shareholder, the product of the Cash Consideration multiplied by the Soft Plus Closing Ratio for each such Soft Plus Shareholder.
