  • If for any reason Red Hat's production is not on schedule, Red Hat agrees to use its best efforts to allocate inventory to Distributor and make shipments in proportion to Distributor's percentage of all Red Hat's orders during the previous [CONFIDENTIAL TREATMENT REQUESTED]** days.

  • Subject to the terms of this Section 4 and any subsequent agreements between the Parties, SK shall have exclusivity distributorship rights for Solid- Oxide Fuel Cells (“SOFC”) and SOEC worldwide (other than the U.S.), as agreed between the Parties on a market-by-market basis.
