In the event that Trust Company does not deliver a SOC 1 Report or SOC 2 Report, as applicable, Client shall be entitled to terminate this Agreement.
Each bridge letter shall state that, during the applicable bridge period, to the Administrator’s knowledge after due inquiry, except as may be identified in such bridge letter, there have not been any significant changes in the Administrator’s internal controls from those represented in the previous SOC 1 Report that could materially and adversely affect the conclusions reached in such report.
