Sneaker means Sneaker Stadium, Inc., a Delaware corporation. "Substitute Member" shall mean an Assignee who has been admitted to all of the rights of membership pursuant to Section 9.3 hereof. "Taxable Year" shall mean the taxable year of the Company as determined for federal income tax purposes.
