The SN Agreements have been duly authorized, executed and delivered by, and are valid and binding agreements of, the Company, enforceable against the Company in accordance with their respective terms, except as enforcement thereof may be subject to bankruptcy, insolvency or other similar laws relating to or affecting creditors’ rights generally or by general equitable principles.
The Company is in compliance with its obligations under the SN Agreements, and, to the knowledge of the Company and the Parent, SN is in compliance with its obligations under the SN Agreements.
The Common Shares, the authorized but unissued Preferred Shares, the Company’s articles and bylaws, the Plan, the Existing Credit Agreement and the SN Agreements conform, and the Intercompany Agreements will conform, in all material respects to the respective statements relating thereto contained in the U.S. Prospectus, the Canadian Prospectus and the Statutory Prospectus and such statements conform to the rights set forth in the respective instruments and agreements defining the same.
