  • Any determination by the Board of Directors in its reasonable discretion concerning any provision hereto shall be binding upon the Corporation, SMTC Corporation, and the Executive.

  • Except as set forth in this paragraph 4, you shall not be entitled to any compensation or other payment from any current or future member, or affiliate of any such member, of the SMTC Group in connection with the termination of your employment.

  • Each such List shall be delivered to the Trustee promptly after receipt by SMTC Canada of such request or the record date for such meeting or seeking of consent, as the case may be, and in any event within sufficient time to enable the Trustee to perform its obligations under this agreement.

  • Failing appointment of a successor trustee by SMTC and SMTC Canada, a successor trustee may be appointed by an order of the Ontario Superior Court of Justice upon application by one or more parties hereto.
