"Third-Party Management Agreement" shall mean any management or other agreement (other than a loading agreement) pursuant to which a person (other than the Corporations and Partnerships) are managing SMR Licenses held by any Corporation or Partnership or any loading agreement pursuant to which a person (other than the Corporations and Partnerships) are loading SMR Licenses held by any Corporation or Partnership in exchange for the right to receive a portion of the revenues derived from such SMR Licenses in excess of 25% of the aggregate revenues derived from such SMR Licenses or the right to purchase such SMR Licenses.
